CHANNEL PARTNER TERMS & CONDITIONS

These Terms & Conditions shall govern the relationship between Sunverra Solar ("Company") and all registered Channel Partners ("CPs"). By registering, referring customers, or participating in any Company program, the Channel Partner agrees to be bound by these Terms & Conditions.

1. APPOINTMENT

1.1 The Company may appoint individuals, firms, agents, associates, or business entities as Channel Partners at its sole discretion.

1.2 The Channel Partner shall work with the Company solely as an independent Channel Partner and shall not be considered an employee, franchisee, legal representative, or authorized agent of the Company unless expressly authorized in writing.

1.3 The Company reserves the right to approve, reject, suspend, or terminate any Channel Partner registration without assigning any reason.

1.4 Exclusivity: The Channel Partner shall work exclusively with Sunverra Solar and shall not promote, represent, or work with any other solar company during the term of this engagement without prior written approval from the Company. 

2. MINIMUM PERFORMANCE REQUIREMENT

2.1 The Channel Partner shall make reasonable efforts to refer a minimum of 100 prospective customers during the applicable campaign or engagement period determined by the Company.

2.2 Only verified and approved customer leads recorded in the Company's official records shall be considered for performance evaluation.

2.3 The Company may revise targets, incentives, and performance requirements at any time.

3. SCOPE OF WORK

3.1 The Channel Partner shall identify and refer prospective customers interested in solar products and services offered by the Company.

3.2 The Channel Partner shall provide accurate customer information and cooperate in the lead verification process.

3.3 All technical evaluations, quotations, pricing decisions, project execution schedules, installations, and after-sales services shall remain under the exclusive control of the Company.

4. CONDUCT AND REPRESENTATIONS

4.1 The Channel Partner shall not make any false, misleading, or unauthorized commitments to customers.

4.2 The Channel Partner shall only use Company-approved promotional materials, brochures, pricing information, and marketing content.

4.3 The Channel Partner shall not collect payments on behalf of the Company unless expressly authorized in writing.

4.4 Any conduct that may damage the Company's reputation shall be treated as a material breach of these Terms & Conditions.

5. LEAD REGISTRATION AND CUSTOMER MAPPING

5.1 A lead shall be considered valid only after submission in the prescribed format and acceptance by the Company.

5.2 In the event of duplicate referrals, the Company's records regarding the first valid lead submission shall be final and binding.

5.3 The Company reserves the right to reject incomplete, duplicate, false, non-responsive, or otherwise ineligible leads.

6. COMMISSION AND PAYMENTS

6.1 For a successfully converted 3 kW Solar System with a sale value of ₹2,00,000, the Channel Partner shall be eligible for a commission of ₹15,000, subject to Company approval. This Commision Structure is Valid Only If they completes their 100th Order.

6.2 Commission shall become payable only after:

• Successful customer booking;

• Full realization of payment by the Company; and

• Completion of internal verification procedures.

6.3 No commission shall be payable for:

• Cancelled bookings;

• Refunded transactions;

• Duplicate claims;

• Unpaid projects;

• Technically infeasible projects; or

• Projects cancelled due to regulatory or customer-related reasons.

6.4 Commission structures for other system capacities may be communicated separately and may be revised by the Company from time to time.

6.5 All payments shall be subject to applicable taxes, statutory deductions, and Company payment cycles.

7. RESPONSIBILITIES OF THE COMPANY

7.1 The Company shall evaluate customer leads and determine technical feasibility.

7.2 The Company shall prepare quotations, execute installations, and provide after-sales support.

7.3 The Company may provide approved marketing materials, training support, and product information whenever deemed necessary.

8. CONFIDENTIALITY

8.1 The Channel Partner shall maintain strict confidentiality regarding all business information, customer data, pricing structures, technical information, and internal communications.

8.2 Confidential information shall not be disclosed, copied, shared, or used for personal benefit or for the benefit of any third party without prior written approval from the Company.

8.3 This confidentiality obligation shall survive termination of the Channel Partner relationship.

9. COMPLIANCE AND RELATIONSHIP STATUS

9.1 The Channel Partner shall comply with all applicable laws, regulations, and industry standards.

9.2 Nothing contained herein shall create any partnership, joint venture, employer-employee relationship, franchise relationship, or agency relationship between the Company and the Channel Partner.

9.3 All travel, communication, operational, marketing, and administrative expenses incurred by the Channel Partner shall be borne solely by the Channel Partner unless otherwise approved in writing.

10. TERMINATION

10.1 The Company may suspend or terminate a Channel Partner immediately in case of:

• Fraud or misconduct;

• Customer complaints;

• Misrepresentation;

• Breach of confidentiality;

• Unauthorized use of Company branding;

• Regulatory non-compliance; or

• Any activity detrimental to the Company's reputation.

10.2 Upon termination, the Channel Partner shall immediately cease using all Company branding, promotional materials, and representations.

10.3 Any pending commission shall remain subject to verification and compliance with these Terms & Conditions.

11. DISPUTE RESOLUTION AND JURISDICTION

11.1 Any dispute arising out of these Terms & Conditions shall first be resolved through mutual discussion and good-faith negotiations.

11.2 If unresolved, such disputes shall be subject to the exclusive jurisdiction of the competent courts located at Nayapara, Rajim, Kurud Chhattisagrh.

12. ACCEPTANCE

By registering, referring customers, or working with the Company as a Channel Partner, the Channel Partner acknowledges that they have read, understood, and accepted these Terms & Conditions.
